Bondoc & Asociatii advised Cargus, a leading Romanian courier service provider, in relation to the acquisition of a majority stake in the Romanian e-fulfilment service provider QeOPS, one of the fastest growing logistics companies in Romania, founded by Paul Copil and Gabriel Copil.
The transaction has been signed at the end of May and completion occurred on mid July 2021. The acquisition is part of Cargus strategy to enhance digitization and improve overall customer experience. The transaction is also meant to add value to Cargus by integrating a complementary service to its deliveries business.
With a turnover in 2020 exceeding EUR 100,000,000. Cargus is owned by Mid Europa Partners, the largest equity funds dedicated to the CEE region which also owns in Romania the healthcare chain Regina Maria and Profi supermarket chain. Bondoc & Asociatii previously advised Mid Europa Partners on these acquisitions, including on the acquisition of Cargus back in 2018, all of which are amongst the largest private equity transactions ever completed on the Romanian market.
Bondoc & Asociatii team included 10 lawyers and was coordinated by Cosmin Stavaru, with the support of Lucian Bondoc and Daniela Gladunea. The assistance covered all aspects of the transaction including due diligence as well as the drafting and negotiation of all transaction documents (share-purchase agreement, shareholders’ agreement, etc.).
